This End-User License Agreement (EULA) is a legally binding agreement between
Camtek Software LLC ("Camtek Software LLC") and the client who has purchased a
license to the software from Camtek Software LLC or one of its authorized partners
("Client").
This EULA is in addition to, and does not replace, the license agreement provided
during product installation from Camtek GmbH. In the event of a conflict between
this EULA and that installation agreement with respect to the rights granted by
Camtek Software LLC, this EULA shall govern as between Camtek Software LLC and the
Client.
THE FOLLOWING TERMS ARE AGREED UPON:
1. ACCEPTANCE
This agreement governs the delivery and use of the software delivered by Camtek
Software LLC ("Software"). The Software may only be installed and used if all
clauses and conditions of this agreement have been accepted.
The online services Camtek Software LLC provides at camteksoftware.com
(.neoCloud), among them the online fixture service, share links and job
delivery, are not Software under this Agreement. They are governed by
their own online terms and privacy notice.
2. LICENSE AND HARDWARE KEY
Except for the .neoInspector (see below), the Software may only be used in
connection with a license (dongle or hardware license) delivered by
Camtek Software LLC or its partners. Each license permits use on a single
computer at any one time. The Client agrees that an additional license must be
purchased for concurrent use on any further computer.
The .neoInspector component of the Software is made available for download
and use free of charge, without the license requirement described above. All other
terms of this Agreement - including Sections 3 (Intellectual Property),
7 (Backup Copies), 8 (Warranty), 9 (Limitation of Liability), and 13 (Export Compliance)
- apply equally to use of the .neoInspector. Any person who installs or uses
the .neoInspector without having purchased a license under this Agreement
is deemed a "Client" for purposes of this Agreement solely with respect to their
use of the .neoInspector.
3. LICENSE GRANT AND INTELLECTUAL PROPERTY
The Software is licensed, not sold. The Client is granted a non-exclusive,
non-transferable license to use the Software for its own internal business
purposes. All intellectual property rights in and to the Software remain the
exclusive property of Camtek Software LLC. The Client shall not sell, sublicense,
lease, distribute, or otherwise make the Software available to any third party
without the prior written authorization of Camtek Software LLC.
4. SITE LICENSING AND OUTPUT RESTRICTIONS
Except for VAR (Value Added Reseller) or annual subscription licenses, the
Software is provided for the Client's internal use only and is licensed per
facility/site. It is not licensed for providing CAD output or engineering
services to third parties unless express written authorization is obtained from
Camtek Software LLC.
5. LICENSE PROTECTION AND LOSS
The Client accepts that the license (dongle or hardware license) protects the
Software against unauthorized use. In the event of loss of the dongle or hardware
license, the Client agrees that the Software can no longer be used and that a
replacement license must be purchased from Camtek Software LLC or one of its
partners.
6. USAGE DATA
Statistical usage data, including fixture-level design session timing and
per-operation computation durations (for example: blade feature build, weld
detection), may be buffered locally to support and improve product features.
Timing data is recorded at the fixture level only; no operator name, login
identifier, or device identifier is associated with it. Such data is anonymized
and is transmitted to Camtek Software LLC only with the user's explicit consent
via the in-product sharing preference, which defaults to off. Usage data shall
not be embedded in documents or CAD output produced by the Software for delivery
to third parties.
7. BACKUP COPIES
The Client may copy the Software solely for backup purposes. The Client agrees not
to pass on any copy of the Software to third parties.
8. WARRANTY
The functionality of the Software corresponds in principle to the specifications
in the sales literature and/or any presentations given. EXCEPT AS EXPRESSLY
STATED, THE SOFTWARE IS PROVIDED "AS IS," AND CAMTEK SOFTWARE LLC DISCLAIMS ALL
IMPLIED WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND
FITNESS FOR A PARTICULAR PURPOSE. Camtek Software LLC does not warrant that the
Software meets all of the Client's requirements or that it is error-free.
9. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CAMTEK SOFTWARE LLC
SHALL HAVE NO LIABILITY WHATSOEVER FOR ANY DAMAGES OR LOSSES OF ANY KIND
ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE USE OF THE SOFTWARE,
INCLUDING WITHOUT LIMITATION ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL,
CONSEQUENTIAL, OR PUNITIVE DAMAGES, REGARDLESS OF THE FORM OF ACTION OR
THE BASIS OF THE CLAIM, EVEN IF CAMTEK SOFTWARE LLC HAS BEEN ADVISED OF
THE POSSIBILITY OF SUCH DAMAGES.
10. THIRD-PARTY PLATFORM DEPENDENCY
(a) Platform Dependency Acknowledged. Licensee acknowledges that the Software
operates as an extension of, and is dependent upon, third-party CAD/CAM
platform software and associated licensing hardware and activation systems
(collectively, the "Platform") supplied by a third-party vendor not affiliated
with Licensor. Licensor does not control the availability, licensing,
activation, pricing, or continued operation of the Platform.
(b) No Liability for Platform Failure. Licensor's obligations under this
Agreement are conditioned on the continued availability and operability of the
Platform. Licensor shall not be in breach of this Agreement, and shall have no
liability to Licensee, where the Software is rendered wholly or partially
inoperable due to failure, expiration, discontinuation, modification, or
unavailability of the Platform, Platform licenses, or Platform protection
devices (including without limitation hardware dongles and software activation
keys), or due to the Platform vendor ceasing business operations, entering
insolvency, or discontinuing support.
(c) Reasonable Assistance. In any such event, Licensor may, at its sole
discretion, use commercially reasonable efforts to assist Licensee in restoring
use of the Software, but does not warrant that restoration is possible or that
any assistance will be provided.
(d) No Procurement Obligation. Nothing in this Section obligates Licensor to
procure, replace, host, or maintain Platform licenses or protection devices on
Licensee's behalf, except as may be separately agreed in writing (including
under any separate license hosting services agreement).
11. TERMINATION
Camtek Software LLC may terminate this license immediately upon the Client's
breach of any term of this agreement. Upon termination, the Client shall cease
all use of the Software and destroy or uninstall all copies. Termination does not
relieve the Client of obligations accrued prior to termination.
12. ATTORNEYS' FEES
In any action or proceeding to enforce or interpret this agreement, the
prevailing party shall be entitled to recover its reasonable attorneys' fees and
costs, to the fullest extent permitted under applicable Georgia law.
13. EXPORT COMPLIANCE
The Client shall comply with all applicable export control and sanctions laws in
connection with its use of the Software.
14. SEVERABILITY
If any provision of this agreement is held invalid or unenforceable, that
provision shall be modified to the minimum extent necessary, or severed, and the
remaining provisions shall remain in full force and effect.
15. GOVERNING LAW AND VENUE
This agreement is governed by the laws of the State of Georgia, USA. The parties
submit to the exclusive jurisdiction of the state and federal courts located in
DeKalb County, Georgia.
